Eugenio Postorivo
Eugenio Postorivo, also known as Gino Postorivo, is an American paintball businessman associated with the development of paintball equipment distribution and manufacturing in the United States. He founded National Paintball Supply (NPS), whose business operations subsequently became part of KEE Action Sports, and later served as president and chief executive officer of Valken Sports.[1][2][3]
Postorivo's career has included paintball equipment distribution, brand development and the management of businesses supplying recreational and competitive paintball equipment.
Paintball industry career
[edit]National Paintball Supply
[edit]Postorivo founded National Paintball Supply, an American paintball equipment distribution business.
The company supplied paintball markers, ammunition, protective equipment and accessories to retailers and commercial playing fields.
NPS became associated with the expansion of the American paintball equipment market during the 1990s and 2000s.
The company's operations included wholesale distribution and relationships with paintball equipment manufacturers and brands.
Delaware Court of Chancery records identify Postorivo as the founder and sole owner of NPS before the sale of substantially all its assets.[1]
Sale of National Paintball Supply
[edit]During the mid-2000s, National Paintball Supply became involved in the consolidation of the American paintball equipment industry.
Under an asset purchase agreement, NPS sold substantially all its operating assets to purchasers who established KEE Action Sports Holdings, Inc.
The new company continued the former NPS business using the acquired assets.
Postorivo and NPS retained certain assets and liabilities excluded from the transaction, including rights associated with existing commercial litigation.[1][2]
The transaction separated Postorivo's former distribution business from the assets and obligations that remained with him and NPS.
KEE Action Sports
[edit]KEE Action Sports continued the equipment distribution operations acquired from National Paintball Supply.
The company became associated with several established paintball equipment brands and the wider consolidation of the industry.
Postorivo's relationship with KEE Action Sports was principally through the sale of the NPS business and subsequent commercial proceedings.
The acquisition should not be interpreted as establishing that Postorivo founded KEE Action Sports or remained responsible for its management following the transaction.[1]
Valken Sports
[edit]Postorivo subsequently became associated with Valken Sports, an American paintball equipment company.
Valken developed and distributed paintball markers, paintballs, protective goggles, clothing, accessories and equipment for commercial playing fields.
Professional business records identify Postorivo as president and chief executive officer of Valken Sports.[3]
The company's product range served recreational players, tournament competitors, equipment retailers and commercial paintball operators.
The precise chronology of Postorivo's involvement in establishing Valken requires further confirmation from contemporary company records.
Corporate litigation
[edit]Following the sale of National Paintball Supply, Postorivo became involved in legal proceedings concerning the asset purchase agreement and related commercial matters.
The proceedings included Postorivo v. AG Paintball Holdings, Inc., heard in the Delaware Court of Chancery.
A decision issued on 7 February 2008 considered the ownership of attorney-client privilege relating to the transferred NPS business and assets and liabilities excluded from the transaction.
The court distinguished legal communications associated with the transferred operating business from those concerning rights and obligations retained by Postorivo and NPS.[1]
The proceedings provide documentary evidence of the corporate relationship between National Paintball Supply, Postorivo and KEE Action Sports.
Industry involvement
[edit]Postorivo's business activities span several stages in the development of the American paintball equipment industry.
Through National Paintball Supply, he was involved in wholesale distribution during the expansion of commercial paintball.
The subsequent sale of NPS formed part of the consolidation of equipment distribution businesses under KEE Action Sports.
His later involvement with Valken Sports connected him with the manufacture and distribution of paintball equipment under a separate commercial brand.
These businesses had distinct ownership arrangements and corporate histories and should not be treated as a single continuously operating company.
